Terms of Service - Seed Routine

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Seed Routine ("we", "our", or "us") governing your access to and use of the Seed Routine iOS mobile application (the "App").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the App.

1.1 Apple Licensed Application End User License Agreement (EULA)

This app is subject to Apple's Licensed Application End User License Agreement (EULA).

2. License to Use the App

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for your personal, non-commercial use on Apple devices that you own or control.

2.1 License Restrictions

You may not:

License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the App
Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the App
Remove any proprietary notices or labels from the App
Use the App in any manner that could damage, disable, overburden, or impair our servers or networks
Attempt to gain unauthorized access to the App or related systems

2.2 Apple App Store Terms

These Terms are between you and Seed Routine, not with Apple Inc. Apple is not responsible for the App or its content. However, Apple and its subsidiaries are third-party beneficiaries of these Terms and will have the right to enforce these Terms against you.

3. Subscription Terms

Premium features require an active subscription
Subscriptions automatically renew unless canceled before the renewal date
You can cancel anytime through iPhone Settings > Subscriptions
No refunds are provided for partial subscription periods

3.1 Subscription Options

The App may offer subscription-based services ("Subscriptions") that provide access to premium features. Subscription details, including pricing and duration, are displayed in the App prior to purchase.

3.2 Payment and Billing

Subscriptions are charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period.

Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage and cancel your subscriptions by going to your Account Settings on the App Store after purchase.

3.3 Cancellation and Refunds

You may cancel your Subscription at any time. Cancellations take effect at the end of the current billing period. No refunds or credits will be provided for partial subscription periods.

Any unused portion of a free trial period, if offered, will be forfeited when you purchase a Subscription.

4. User Content and AI Services

4.1 AI Chat Feature

The App includes an AI-powered coaching feature that processes your messages through third-party AI services (Groq AI API). By using this feature, you acknowledge that:

Your chat messages may be processed by AI systems to generate responses
AI-generated responses are for informational and motivational purposes only
You should not rely on AI responses as professional, medical, or legal advice

4.2 User Conduct

When using the App, you agree not to:

Use the App for any illegal, harmful, or abusive purposes
Send messages to the AI that are harassing, hateful, discriminatory, or otherwise inappropriate
Attempt to exploit or manipulate the AI systems
Use the App to generate or distribute spam
Upload viruses, malware, or other malicious code
Violate any applicable laws or regulations

5. Intellectual Property

The App and its original content, features, and functionality are and will remain the exclusive property of Seed Routine and its licensors. The App is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Seed Routine.

6. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SEED ROUTINE DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

The implied warranties of merchantability, fitness for a particular purpose, or non-infringement
That the App will function uninterrupted, secure, or available at any particular time or location
That any errors or defects will be corrected
That the App is free of viruses or other harmful components
That the results of using the App will meet your requirements

7. Limitation of Liability

IN NO EVENT SHALL SEED ROUTINE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of or inability to access or use the App
Any conduct or content of any third party on the App
Any content obtained from the App
Unauthorized access, use, or alteration of your transmissions or content

IN ANY CASE, SEED ROUTINE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO SEED ROUTINE THROUGH THE APP IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

8. Indemnification

You agree to defend, indemnify, and hold harmless Seed Routine and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

Your use and access of the App
Your violation of any term of these Terms
Your violation of any third-party right, including without limitation any copyright, property, or privacy right

9. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the App will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use the App after those revisions become effective, you agree to be bound by the revised terms.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Seed Routine operates, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
